今日は法律/契約用語の勉強です。
英国法（Common law）について以下記載します。米国は多分色々違うので要注意です。
世界の法体系は①コモン・ロー（英連邦）、②米国法、 ③大陸法 と分けるのがいいようです。日本法は大陸法系ですね。
①一般条項 boiler-plate clauses
契約書の後半にずらずら書かれているものです。
Notice 通知
Force majeure 不可抗力
Entire agreement 完全合意- 交渉経緯とは関係なく書かれていることだけが合意内容ということ。
Assignment 譲渡
Amendment 契約の修正/変更
Governing law and the jurisdiction of the courts 準拠法及び裁判管轄条項
Arbitration 仲裁条項
No (implied) waiver 非黙示放棄条項
Severance 分離条項
Time to be of the essence 確定期取引条項
②その他契約用語 （ラテン語が使われているのは要注意！）
best endeavours 最大努力義務 あらゆる義務を尽くすとうい相当に重い義務。一段下が reasonable endeavour
bona fide 誠意を以て in good faith
breach 契約違反
consideration 約因
covenants 約定
damage 損害
damages 損害賠償金
deed 捺印証書
due diligence 相当な注意
engrossments 原本
estoppels 禁反言
ex gratia 恩恵として
ex gratia payment （法的義務のない）道義に基く支払
ex officio 職務上当然に
FAD = for the avoidance of doubt 疑義を避けるため
forthwith and immediately 直ちに
gross negligence and willful misconduct 重過失と故意
hold harmless クレームが発生しないことを保障する。indemnify – だと更に強い
injunction 差止命令
inter alia なかんずく among other things
joint and several 連帯して
misrepresentation 不当表示
mutatis mutandis 必要な変更を加えたうえで
pari passu 同順位の
pro rata 比例して
void 無効な
without prejudice to に影響することなく
③用語の変化
英国法では用語の簡素化が進められているようです。米国ではそうでもないみたい。
例をあげますね。
訴訟用語
証人喚問 subpoena ⇒ witness summons
訴状 writ ⇒ claim form
資産凍結命令 Mareva injunction ⇒ freezing order
原告 plaintiff ⇒ claimant
契約用語
in lieu of ⇒ in place of
in the interest of ⇒ for
in excess of ⇒ more than
whence ⇒ from where
whereabouts ⇒ location
purchaser ⇒ buyer
vendor ⇒ seller
文章の例で言うと、弁護士英語で出てきそうな
in the event that there is a reduction in the number of explosions
なんてのはダメで、
if few explosions occur
にしましょう、ということですね。

ひえ〜(T_T)難しいですね^_^;ところどころわかるものもありますが^_^;＞bona fide：法律に使われるとは知りませんでした。この間英会話学校でたまたまMtoMになり、punishmentについて激論となったのですが、そのときでも裁判用語にフラフラになったのに、これらの用語はまったく使うことはできないですね^_^;勉強になりました<m(__)m>

こんにちは。
法律や契約の用語は難しいです。今までイギリスの労働法？や取引先との契約、監査項目やらを翻訳したことがあるのですが、時間かかりましたし、頭がフラフラしました
逆を言えば覚えされすれば楽なんでしょうね。。

法務用語の翻訳は大変ですね。
たしかに覚えてしまえば意外と同じことの繰り返しかもしれませんね。

古い記事への投稿で失礼します。近年は、米国でも若い人を中心に、plain English が進んでいる印象はありますね。ビジネスでも、契約書に in the eventとか使うと、普通に if に書き換えられちゃいます。
